Terms of Service
These Terms form a binding agreement between Agentalk and anyone who accesses the website, opens an account, or uses the Services.
Please read these Terms of Service (these "Terms") carefully. These Terms form a binding agreement between Agentalk ("Agentalk", "we", "us", or "our") and any individual or entity that accesses our website, creates an account, or uses our services, including that individual's or entity's employees, agents, and contractors ("you" or "Customer"). If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
By accessing the Website, creating an account, or clicking "I agree", you accept these Terms. If you do not agree, do not use the Services.
Arbitration / Class Action Waiver (Overview). Except as noted in Section 19, Disputes will be resolved by binding arbitration on an individual basis.
1. Definitions
- Services
- The Agentalk website, dashboard, APIs, voice/chat automation platform, documentation, SDKs, and related features.
- Platform
- Agentalk's orchestration layer connecting third-party STT/TTS/LLM/telephony/analytics modules.
- Account
- Your login credentials, profile, and configuration.
- Your Content
- Any data or materials you or your end users upload, transmit, or generate through the Services (e.g., prompts, assistant configs, audio, transcripts, messages, files, metadata).
- Providers
- Third parties delivering components of the Services (e.g., cloud, telephony, STT/TTS, LLM, payments, analytics).
- Documentation
- Product guides, specs, and help resources we publish.
2. Acceptance; Related Documents; Order of Precedence
These Terms apply when you open an Account, use the Services, or sign a commercial order that references them. Our Privacy Policy, and any applicable addenda (e.g., Data Processing Addendum (DPA), SLA, or BAA where applicable) are incorporated by reference. If there is a conflict, an executed order form / statement of work prevails, then the DPA, then these Terms.
3. Access Rights and License
Subject to your continued compliance with these Terms and payment of applicable fees, Agentalk grants you a revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely to build and operate voice/chat assistants in accordance with the Documentation. No sale or transfer of ownership is intended. All rights not expressly granted are reserved.
6. Acceptable Use
You will not (and will not permit others to):
- (a) use the Services in violation of law (privacy, telecom / anti-spam, call-recording, consumer protection, export / sanctions), third-party rights, or these Terms;
- (b) create illegal, fraudulent, deceptive, harmful, or infringing assistants;
- (c) interfere with or disrupt the Services / Providers; attempt to probe or bypass security; reverse engineer;
- (d) perform bulk scraping / mining or build datasets to train unrelated models or tools;
- (e) upload malicious code or compromise security measures.
We may suspend or terminate access for violations.
7. Fees, Billing, Taxes
Fees are as published on the Website or set in an order form, and may be usage-based (e.g., voice minutes, messages, API calls, phone numbers, storage, value-added features).
- Changes
- We may change fees prospectively for future billing periods.
- Third-Party Charges
- Provider charges may apply in addition to our fees, and in some cases are paid directly by you.
- Taxes
- Fees exclude taxes; you are responsible for applicable taxes.
- Refunds
- Except where required by law or expressly stated otherwise, payments are non-refundable.
8. Intellectual Property; Ownership; Feedback
- Our IP
- The Services and all related IP (software, designs, databases, trademarks) are owned by Agentalk or its licensors.
- Your Content
- You retain ownership of Your Content. You grant Agentalk and its Providers a worldwide, royalty-free, sublicensable license to process Your Content (host, store, transmit, display, modify as technically necessary) solely to provide the Services, comply with law, secure and operate the Platform.
14. Limitation of Liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits / revenue / data, even if advised of the possibility; (b) each party's aggregate liability arising from or relating to the Services is capped at the greater of US$100 or the amounts you paid to Agentalk in the 12 months preceding the event giving rise to liability. These limits do not apply where prohibited by law.
